Terms of Service

These terms govern your access to the Voltwell website and, where a separate order form applies, the Voltwell operations console. By using the service you agree to them. If you're agreeing on behalf of a company, you confirm you're authorised to bind it.

1. Accounts & access
Access to the console is invite-only. You are responsible for the credentials issued to your workspace and for the activity of the operators you invite. Notify us promptly if you suspect unauthorised access. We may suspend an account that poses a security or stability risk to the platform or other customers.
2. Acceptable use
You agree not to misuse the service. In particular, you will not:
- probe, scan or attempt to breach the security of the platform or other tenants;
- reverse-engineer the software except where that restriction is prohibited by law;
- use the service to control or command physical equipment in a way it is not designed for — Voltwell is a monitoring and analytics platform, not a substitute for certified plant control or protection systems;
- resell or provide the service to third parties without a written agreement.
3. Your data
You retain all rights in the telemetry and account content you submit (“Customer Data”). You grant us a limited licence to process it solely to provide and secure the service. Our handling of personal data is described in the Privacy Policy, which forms part of these terms. You are responsible for having the rights necessary to send us the data you send.
4. Availability
We work hard to keep the platform up and publish live status. Enterprise customers receive a written uptime commitment in their order form; for all other plans the service is provided on a commercially reasonable-efforts basis. Planned maintenance is announced in advance where practical. The edge collector is designed to keep sampling and backfill during interruptions so your history stays continuous.
5. Fees
Fees are set out in your order form and are priced per site or per MW under management as described on our pricing page. Unless stated otherwise, fees are billed annually in advance, are exclusive of taxes, and are non-refundable except where required by law. We'll give at least 30 days' notice before a price change takes effect at renewal.
6. Intellectual property
The Voltwell platform, software, documentation and brand are and remain our property. Aggregated, de-identified statistics that cannot reasonably identify you or your sites may be used to operate and improve the service.
7. Warranties & disclaimers
The service is provided “as is”. To the extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement. Voltwell provides visibility into your assets; decisions about operating, dispatching or protecting physical equipment remain yours and your operators'.
8. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental or consequential damages, or for lost profits or lost production. Each party's total liability arising out of the agreement is capped at the fees paid or payable in the 12 months preceding the claim. Nothing here limits liability that cannot be limited by law.
9. Term & termination
These terms apply while you use the service. Either party may terminate a subscription for material breach not cured within 30 days of notice. On termination we make Customer Data available for export for 30 days, after which we delete it in line with the Privacy Policy.
10. Governing law
These terms are governed by the laws of the Netherlands, and the courts of Rotterdam have exclusive jurisdiction, without prejudice to mandatory consumer protections in your country of residence.
